RMT ONLINE – INFORMAÇÕES E PUBLICIDADES LTDA, a limited liability company headquartered in Campo Grande, State of Mato Grosso do Sul, at Rua Santana, 170 – Jardim TV Morna – ZIP Code 79051‑200, registered under CNPJ/MF No. 04.737.835/0002‑60 (hereinafter “Pantanal Agency”).

This Agreement governs the license granted by the Licensor to the Licensee when registering, as specified in item 1 below, for use of content owned by Pantanal Agency and provided via the website pantanalagency.news.

By electronically accepting this document, the Licensee expressly agrees to all terms and conditions herein, which govern the use of the content provided by Pantanal Agency and previously selected by the Licensee (“Licensed Material”) for inclusion in their own work (the “Work”), for which they hold individual responsibility.


1. General Provisions:

1.1 The Licensee’s registration will follow this procedure:

  • (i) Complete the online registration on pantanalagency.news by providing: legal entity name, CNPJ, full address (including neighborhood, ZIP code, city, and state); full name of the contact person; ID number, CPF, and date of birth; contact email.
  • (ii) By electronically agreeing, the contact warrants they are the legal representative of the Licensee with full authority to sign this Agreement.

1.2 The Licensee must ensure accuracy when registering online. Pantanal Agency is not responsible for errors such as duplicate registrations or incorrect data.

1.3 The Security and Privacy Policy of the Portal, available on the home page of pantanalagency.news, also applies.

2. Grant of License:

2.1 Pantanal Agency grants the Licensee a non‑transferable license to include the Licensed Material only in the Work specified at the time of purchase, for the period and through the media formats expressly authorized in Pantanal Agency’s confirmation email and receipt after payment.

2.2 The Licensee may not transfer or allow third‑party use of the Licensed Material under any circumstances and must indemnify Pantanal Agency for unauthorized use.

2.3 The Licensee must preserve the integrity of the content and any persons depicted, refraining from any derogatory or privacy-violating mentions. Pantanal Agency may revoke the license upon violation.

2.4 This license covers only rights held by Pantanal Agency; it does not include third-party rights.

2.4.1 The Licensee must independently obtain any third-party permissions (e.g., image rights, sports arena rights, music synchronization/public performance rights) needed for use.

2.4.2 The Licensee must indemnify Pantanal Agency against claims or penalties related to such third-party permissions.

2.5 Pantanal Agency may offset any payments it makes for third-party permissions against any credits owed by the Licensee.

2.6 Use of the Licensed Material in VOD, OTT, or broadcast TV in Brazil is expressly prohibited. If the Licensee does so, they must edit and remove such content. Failure results in immediate termination and potential damages.

2.7 Licensed content is generally not sold for exclusive use, unless specifically negotiated.

3. Media, Duration, and Territory:

3.1 The Licensee may use the Licensed Material in the Work within the territory, period, and media specified in the confirmation email and receipt, under the terms of this Agreement.

3.2 If distributing online, the Licensee must use geo-blocking to restrict access to the authorized territory during the validity period.

3.3 Any use beyond what is authorized in the receipt requires prior written consent from Pantanal Agency, which may or may not be granted.

4. Intellectual Property:

4.1 Pantanal Agency confirms it is fully responsible for the license and guarantees that the Licensed Material is original.

5. Licensee’s Obligations:

5.1 The Licensee must secure any necessary third-party permissions (e.g., for image, voice use, phonograms). Pantanal Agency is fully indemnified from liability for lack of such permissions, and the Licensee must cover damages, legal costs, and attorney’s fees.

6. Protection of Content:

6.1 The Licensee must implement security measures to prevent duplication, copying, or unauthorized use of the Licensed Material and must report unauthorized use immediately.

6.2 The Licensee must try to prevent any infringement or interference from third parties.

6.3 Upon notification by Pantanal Agency of infringement, the Licensee must immediately cease use of the Work at their own risk, with no reimbursement.

7. Credits:

7.1 The Licensee must preserve Pantanal Agency’s credits and logos, and any watermark must remain intact. Altering or adding advertising, branding, or sponsorships without permission is prohibited.

7.2 The Work must include the following credit line: “PANTANAL AGENCY´S CONTENT”.

8. Payment / Taxes / Download:

8.1 The Licensee agrees to receive billing slips (boletos) electronically via registered email and will pay the amount specified.

8.2 All delivery costs, including taxes and fees, are the Licensee’s responsibility.

8.3 The Licensed Material will be available after payment confirmation, and the Licensee has 10 days to download it.

9. Other Provisions:

9.1 Waiving rights or delaying enforcement by either party does not waive those rights permanently.

9.2 This Agreement does not create any partnership, joint venture, or agency relationship.

9.3 This Agreement, along with the confirmation email, the online availability page, and the payment receipt, constitute the full agreement. Clicking “I agree” and “Accept” constitutes effective acceptance via Web.

9.4 In case of conflict, the specific usage terms in the receipt prevail over this Agreement.

9.5 Rights under this Agreement cannot be assigned without written consent, except that Pantanal Agency may transfer rights to affiliates or parent companies.

9.6 The Licensee acknowledges having read and agreed to these terms.

10. Jurisdiction:

10.1 Any disputes will be resolved in the Central Court of Campo Grande, Mato Grosso do Sul.

11. Anti-Corruption:

11.1 The parties commit to anti-corruption laws, including Brazilian Law No. 12.846/2013, and agree not to offer any improper advantages to public officials or private persons to gain unfair advantage.
